DefendR Terms of Service

Agreement

These terms are an agreement between you and Project KOS LLC, a Virginia limited liability company doing business as DefendR. By creating an account or using the service you accept these terms on behalf of yourself and, where applicable, the organization you represent.

The service

DefendR generates CMMC Level 1 compliance documentation for defense industrial base suppliers. You complete a structured assessment; DefendR generates documentation grounded in the assessment responses and company profile you provide. The deliverables are described at purchase and currently include a System Security Plan, Security Policies, and an SPRS Affirmation Worksheet, with a Gap Assessment Report available at no charge to accounts with a completed assessment.

Your attestations and your responsibility

Your generated documents are built from your own attestations. Every substantive claim in a generated document traces to a CMMC Level 1 requirement and to an answer you provided. You are responsible for the accuracy and completeness of your assessment responses, and for reviewing each generated document before you use it, submit it, or affirm anything based on it. Submitting inaccurate information to the government or to a contracting party carries legal consequences that are yours, not DefendR's; provide accurate answers and keep them current as your environment changes.

What DefendR does not do

DefendR is not a certification body, an assessor, an accreditation body, a law firm, or an insurance provider. DefendR does not certify, assess, or guarantee that your organization is compliant with CMMC or any other requirement, does not guarantee any assessment outcome, contract award, or score acceptance, and does not provide legal advice. The document verification page confirms that a document is a genuine DefendR artifact generated from your attestations on a stated date; it does not assert that any organization is compliant.

Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. DefendR may suspend or terminate accounts that violate these terms or misuse the service.

Fees and payment

Current pricing is stated at checkout. Level 1 Documentation is $1,999 one time and delivers a System Security Plan, Security Policies, an SPRS Affirmation Worksheet, and a Gap Assessment Report generated from your completed assessment. The Level 2 Self-Assessment Record is $3,000 one time. Standing is an optional monthly subscription, charged monthly and cancelable at any time, that keeps your record current: it includes regeneration of your documentation from your then-current answers, version history, and the annual refresh; its monthly amount is stated at checkout. Standing never gates the documents you have already purchased. Customers who purchased the earlier Standard or Bundle packages keep the terms they purchased under, including any prepaid renewal. Payment is processed by Stripe. Prices may change; a change does not affect what you have already purchased. Refunds are governed by the Refund Policy.

Your documents and your data

You own your assessment responses and company information. Upon payment, you receive a perpetual right to use the documents generated for your organization for your own compliance purposes. DefendR retains the underlying generation record (which documents were generated, when, and against which requirement versions) as the provenance record behind each document's verification link. Use of your information is governed by the Privacy Policy, including its data-use enumeration and consent structure.

Document verification

Each generated document embeds a verification link and QR code. Anyone holding the link can view the document's provenance record (organization name, document type, generated date, grounding version, and whether a more recent version exists). By purchasing, you acknowledge this verification surface as part of the product.

Acceptable use

  • Do not misrepresent your identity or your organization.
  • Do not use the service to generate documentation for an organization you are not authorized to represent.
  • Do not attempt to probe, disrupt, or gain unauthorized access to the service or other customers' data.
  • Do not resell or white-label the service without a written agreement with DefendR.

Intellectual property

The DefendR platform, including its assessment structure, generation system, templates, and site content, belongs to Project KOS LLC. These terms grant you no rights in the platform other than use of the service as described.

Disclaimers

The service is provided as is and as available. DefendR disclaims all warranties not stated expressly in these terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DefendR does not warrant that generated documentation will satisfy any particular assessor, agency, prime contractor, or insurer.

Limitation of liability

To the maximum extent permitted by law, Project KOS LLC's total liability arising out of the service is limited to the amount you paid DefendR in the twelve months before the claim arose, and DefendR is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, lost contracts, or government enforcement outcomes.

Operator decision required. Counsel review point: confirm the liability cap structure (12-month fees paid), whether an indemnification clause should be added, and whether disputes should go to Virginia courts or arbitration. Venue and dispute-resolution are unset in this draft.

Termination

You may stop using the service and request account deletion at any time. Sections that by their nature survive (your document rights, disclaimers, limitation of liability, governing law) survive termination.

Governing law

These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.

Changes to these terms

If these terms change materially, DefendR will post the updated terms at this address with a new effective date and notify account holders by email. Continued use after the effective date constitutes acceptance.
